Terms of Service

1. Agreement
These Terms of Service (“Terms”) apply to Strata, an online platform made for Health, Safety and Environment (HSE), and to the public website at stratahse.com (“Strata”, “we”, “us”).
By creating an account, signing in, or using Strata, the client organisation (“Client”) and each user accept these Terms. How we handle personal information is set out in the Privacy Policy. A signed agreement between the parties prevails over this page where they conflict.
2. The service
Strata is a digital service. The Client may record workplace information, complete assessments, and view scores, insights and recommendations based on what the Client enters. It is supplied only as software used over the internet.
Strata does not include site visits or any other work at the Client’s premises. We are not the Client’s competent person, safety officer or legal adviser. What appears on screen is decision support. It is not professional advice and it is not, on its own, a completed statutory assessment.
If the Client needs work done outside the platform, we may, if asked, point the Client toward an independent practitioner. That is not part of this service. We do not accept liability for that third party’s work.
3. Nature of assessments
Strata is by no means a definitive list of hazards identified during a risk assessment project and is thus issued without prejudice. It is the responsibility of the employer to ensure that all hazards are identified by the employer (as per all applicable country-specific HSE legislation and specifically Section 8 of the Occupational Health and Safety Act 85 of 1993 and its various regulations). Strata and its affiliates do not accept any responsibility or liability for the completed risk assessments.
4. Use of the service
Each Client works in its own workspace. The Client must keep administrator details current, remove access when a person leaves, and is responsible for what its users enter and for activity under those accounts.
Users must not:
- try to reach another organisation’s workspace or interfere with the service;
- share sign-in details;
- enter information they do not have the right to use, or that is false in a way that could distort an assessment;
- present Strata output as an independent professional opinion or as proof that legal duties have been met;
- use Strata in a way that breaks the law that applies to them.
We may suspend or end access for non-payment or for a material breach of these Terms.
5. Ownership
The Client owns its workspace content. Strata, including its methods, templates, software and branding, remains ours. The Client may use the service during a paid subscription or a trial we grant. That right ends when the subscription or trial ends.
When a subscription ends, the Client has 30 days to export its content. After 30 days we may delete it, unless the law requires us to keep a copy.
6. Fees
Unless a signed schedule says otherwise, the initial term is 12 months and then renews for further 12-month periods. Either party may stop a renewal by giving at least 60 days’ written notice before the current term ends. Fees are due in advance.
7. Liability
We aim to keep Strata available. We do not warrant uninterrupted operation, or that the service will identify every hazard or produce any particular result.
To the maximum extent permitted by South African law, including the Consumer Protection Act 68 of 2008 where it applies, our total liability arising out of the service is limited to the fees paid by that Client in the 12 months before the claim. We are not liable for indirect or consequential loss, including workplace incidents, inspector findings, fines, lost profit or interruption of business. Nothing in these Terms excludes liability that the law does not allow us to exclude.
The Client indemnifies us against claims arising from workspace content, from the Client’s use of Strata, or from safety incidents at the Client’s workplaces, except to the extent caused by our gross negligence.
8. Law
These Terms are governed by the law of the Republic of South Africa. The South African courts have jurisdiction.
9. Changes
We may update these Terms. The date at the top will change. Continued use after the effective date is acceptance of the new Terms.
